As of now, the AISVN parent community has authorized over 1,700+ billion VND to AIST.
1. What is AIST?
AIST (AISVN Together) is an initiative by the AISVN parent community to unify our collective voice and find a transparent, fair, and sustainable restructuring solution, prioritizing the best interests of students and parents.
2. What are AIST’s objectives?
AIST was formed with three primary goals:
• Protecting the rights and interests of parents
• Securing a stable continuing education environment for students
• Finding a restructuring solution for AISVN with the participation of strategic investors
3. Is this plan intended to "rescue the school owner"?
No.
AIST’s goal is not to rescue any specific individual. It is to rescue the educational environment for our children and recover the investment for parents.
4. Why establish AIST as a corporate entity?
A group of parents, no matter how large, lacks the legal status to:
• Sign contracts
• Execute financial negotiations
• Formally engage with investors
• Receive assets or restructure the school
Only with a legal entity does the voice of the parents carry binding legal weight.
5. Do participating parents have to pay extra money?
No.
Joining AIST does not require additional funding.
Parents may simply sign the Authorization and Support Service Agreement for AIST to provide legal representation during negotiations.
6. Does authorizing AIST mean losing control over my money?
No.
AIST only represents parents in negotiations to protect collective interests.
All major decisions must be voted on by the community, and any parent can withdraw their authorization at any time if they do not reach a consensus.
7. How many parents have joined so far?
Currently, the total value of authorized debts from parents has exceeded 1,700 billion VND.
This demonstrates that the parent community is unifying to create a powerful collective voice.
8. Can I withdraw after joining?
Yes.
Parents can cancel their authorization or withdraw from the process at any time if they feel it is no longer suitable.
9. What if the restructuring plan fails?
No one can guarantee 100% success.
However:
• If we do nothing: The risk of a total loss becomes a certainty.
• With AIST: Parents at least gain a seat at the table and a fighting chance through negotiation.
10. Will I lose my rights if I do not join AIST?
Participation is entirely voluntary.
However, if you do not join:
• You will lack voting rights regarding your previous investments
• You must find individual legal representation, which is time-consuming and costly
• Access to full information will be limited, leading to uncertainty
11. Is this a scam?
No.
AIST operates with::
• A lawful legal entity that upholds the rule of law
• Clear operating regulations and bylaws
• A community oversight mechanism to ensure accountability
• Absolute transparency in all activities
All activities are publicly disclosed to parents. Most importantly, AIST does not collect any fees from participants—not even a single cent.
12. What if someone exploits AIST for personal gain?
AIST’s structure is designed to prevent individual manipulation:
• A Supervisory Board and strict organizational bylaws were finalized from day one
• Collective voting and cross-monitoring: No individual holds centralized power; every member has the right to independently audit and query AIST
• All activities are publicly disclosed on the official AIST website
13. Will the founders hold permanent power?
No.
Founders only serve as initial proposers.
Executive and project management positions will be publicly elected by the participating community.
14. Is AIST trying to seize control of the school?
No.
AIST was not created to control educational activities or seize the school. Even with high community unity, our realistic goal post-restructuring is simply to secure one seat on the Board of Directors within the new operational entity (alongside the Investor). Neither the school owner nor the Investor would grant the parent community more authority than that.
The role of AIST is primarily to:
Represent the interests and rights of parents.
Oversee the financial status and the restructuring process
Coordinate with the Investor and all relevant stakeholders
Academic activities and day-to-day school operations will still require a specialized educational team and a professional management apparatus.
15. Can I help if I am not an expert in law or finance?
Yes.
In a community model:
• Every signature counts
• Every voice matters
• Every participant makes the community stronger
16. What is a Non-profit Company?
This is a business model that does not distribute profits to individuals—a concept quite different from the common misconception that "non-profit" means "no profit."
Any generated profits will be utilized for:
• Reinvesting in the school to enhance educational quality
•Serving the community more effectively and comprehensively, as this is the primary goal and commitment made to authorities when registering as a Social Enterprise
• Supporting an orderly capital recovery for parents (including those who do not participate in the AIST plan, though participating parents will be prioritized)
17. If there is no profit distribution, how does the company operate?
Non-profit does not mean a lack of cash flow.
The company can still generate legal revenue to maintain operations and serve its collective goals.
18. Are there "major" or "minor" shareholders in AIST?
No.
Under AIST’s non-profit bylaws, voting follows the principle:
One Parent – One Vote, regardless of the amount of money contributed.
19. Does anyone receive a salary or personal benefits from AIST?
Those involved in the management and operation of AIST work on a volunteer basis.
If professional expenses arise (such as legal fees, auditing, or other specialized services), they must:
• Be transparently proposed for review
• Have valid supporting documents and invoices
• Be approved by the collective
20. Why should parents consider joining AIST?
In a major crisis like the current one:
• If each parent stands alone, our voice is very weak
• But if the parent community stands united, we can create a real, tangible solution
AIST was established to ensure that no one has to face this challenge alone.
21. Why should investors work with AIST instead of working directly with the school owner?
Currently, the parent community is the largest creditor group of AISVN, with total contributions reaching thousands of billions of VND.
Without the active participation of parents, any restructuring plan will face significant risks:
Lack of community consensus
Prolonged legal disputes
Difficulty in stabilizing educational operations
AIST consolidates parents into a unified, transparent, and organized partner, enabling investors to operate more smoothly and achieve long-term stability.
22. What value does AIST bring to investors?
AIST provides strategic support to investors by:
• Consolidating community consensus
• Mitigating dispute risks
•Creating a transparent restructuring environment
• Accelerating the recovery process
Most importantly, AIST facilitates the rebuilding of community trust and provides oversight of educational quality—two indispensable factors for the long-term success of any educational institution.
23. Is AIST ready to cooperate with strategic investors and the school owner?
Yes.
From the very beginning, AIST’s spirit has been:
Cooperation – Transparency – Collaborative long-term solutions for AISVN.
AIST is not an opposition group; rather, we serve as a vital bridge connecting parents, investors, and the educational system.
24. If an investor joins, will AIST support the school’s stabilization process?
Yes.
AIST can provide support in:
• Building consensus within the parent community
• Ensuring transparent communication regarding the restructuring plan
• Fostering a stable environment so that students can continue their education without disruption
This allows the investor to focus exclusively on developing long-term teaching and learning quality, rather than being bogged down by community conflicts.
AISVN is indeed in a deep crisis and is gradually approaching bankruptcy as its next phase
However, the future of our students and the trust of the parent community remain invaluable.
